End User License Agreement

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("you," "your," or "End User") and EMBookHealth ("we," "us," "our," or "EMBookHealth") for the use of the EMBookHealth software application and related services (collectively, the "Software" or "Service"). By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, you may not use the Software.

1. License Grant

Subject to your compliance with this EULA, EMBookHealth grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your personal or internal business purposes, in accordance with the subscription plan or account type you have selected.

This license does not grant you any ownership rights in the Software, and it is conditioned on your continued compliance with this EULA and any applicable Terms of Service or other policies.

2. License Restrictions

You agree that you will not, and will not permit others to:

  • Copy, modify, adapt, translate, or create derivative works of the Software.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
  • Rent, lease, lend, sell, sublicense, distribute, or transfer the Software or any rights granted hereunder.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
  • Use the Software to build a competing product or service.
  • Interfere with or disrupt the integrity, security, or performance of the Software.
  • Access or use the Software through unauthorized means, including automated scripts, bots, or scraping.
  • Use the Software in violation of any applicable law, regulation, or third-party right.

3. Account Registration and Security

You may need to create an account to use certain features of the Software. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate and complete information when registering, and you agree to promptly update your account information if it changes. You must notify us immediately of any unauthorized use of your account or any other security breach.

4. Intellectual Property

The Software, including all content, features, functionality, designs, code, trademarks, logos, and other intellectual property, is owned by EMBookHealth or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Nothing in this EULA transfers any ownership, title, or interest in the Software or any intellectual property rights to you. All rights not expressly granted are reserved by EMBookHealth.

5. Third-Party Integrations

The Software may integrate with third-party platforms, including QuickBooks Online. Your use of these integrations is subject to the terms, conditions, and policies of the applicable third-party providers.

EMBookHealth is not responsible for the availability, accuracy, security, or functionality of third-party services. By connecting a third-party account, you authorize us to access and process data from that account as necessary to provide the Service.

6. Data and Privacy

Your use of the Software is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Software, you consent to the data practices described in the Privacy Policy.

You are responsible for ensuring that you have the right to share any data you import or connect to the Software, including business or accounting data.

7. Subscriptions and Payments

Certain features of the Software may require a paid subscription. Fees are billed in advance on a recurring basis and are non-refundable except where required by law.

You may cancel your subscription at any time through your billing settings. Cancellation will take effect at the end of your current billing period unless otherwise stated. We reserve the right to modify pricing or subscription features upon reasonable notice.

8. Updates and Modifications

EMBookHealth may update, modify, or enhance the Software at any time. Such updates may be provided automatically and are subject to this EULA unless accompanied by separate terms.

We may also modify this EULA from time to time. Updated terms become effective upon posting unless otherwise stated. Continued use of the Software after changes constitutes acceptance of the revised EULA.

9. Disclaimers

THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.

The Software provides automated insights, recommendations, health scores, forecasts, and analytics based on data you provide or connect. These outputs are for informational purposes only and should not be considered accounting, tax, financial, investment, or legal advice.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EMBookHealth AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF EMBookHealth ARISING OUT OF OR RELATING TO THIS EULA SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO EMBookHealth DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless EMBookHealth and its affiliates, officers, employees, contractors, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your use of the Software.
  • Your violation of this EULA or any applicable law.
  • Your infringement of any third-party right.
  • Any data or content you provide or transmit through the Software.

12. Termination

This EULA is effective until terminated. Either party may terminate the service relationship at any time. EMBookHealth may suspend or terminate your license or account if you violate this EULA, misuse the Software, or create legal or security risks.

Upon termination, your right to use the Software ends immediately, and you must cease all use of the Software. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

13. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Rhode Island, United States, without regard to conflict of law principles.

14. Severability

If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

15. Entire Agreement

This EULA, together with our Terms of Service, Privacy Policy, and any other policies referenced herein, constitutes the entire agreement between you and EMBookHealth regarding the use of the Software and supersedes any prior agreements or understandings.
