1. Acceptance of Terms
By accessing or using EMBookHealth ("the Platform," "the Service," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
EMBookHealth provides bookkeeping health monitoring, issue detection, financial insights, health scoring, forecasting, and recommendations for connected accounting platforms and financial systems.
The Service is read-only by default and does not move money, modify accounting records, create transactions, or make changes to your books unless you explicitly authorize and approve a specific action.
3. Third-Party Integrations
EMBookHealth integrates with third-party services and platforms, including accounting software providers such as QuickBooks.
By connecting a third-party account, you authorize EMBookHealth to access, retrieve, process, and analyze your financial data solely for the purpose of providing the Service.
EMBookHealth is not responsible for the availability, accuracy, security, functionality, or actions of third-party providers or for changes made by those providers that may affect the operation or availability of the Service.
4. Account Registration
You must provide accurate, complete, and current information when creating an account.
You are responsible for maintaining the confidentiality and security of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or security breach.
You must be at least 18 years old and legally capable of entering into binding agreements to use the Service.
5. Data Accuracy
The quality and accuracy of insights, recommendations, forecasts, health scores, and analyses generated by EMBookHealth depend on the accuracy, completeness, and timeliness of the information provided by you and your connected accounting platforms.
You are responsible for ensuring that your financial records and connected data sources are accurate and up to date.
6. Subscriptions and Payments
Certain features of the Service require a paid subscription.
Subscription fees are billed in advance on a recurring basis and are non-refundable except where required by applicable law.
You may cancel your subscription at any time through your billing settings. Cancellation will take effect at the end of your current billing period unless otherwise specified.
We reserve the right to modify pricing, subscription features, usage limits, and plan availability upon reasonable notice.
7. Acceptable Use
You agree to use the Service lawfully and not to:
- Attempt to disrupt, abuse, or interfere with the Service.
- Attempt to gain unauthorized access to systems, data, or accounts.
- Reverse engineer, copy, reproduce, distribute, or resell the Platform or its underlying technology.

9. Termination
Either party may terminate the service relationship at any time.
Upon termination, your right to access the Service ends immediately, subject to any rights required by applicable law.
EMBookHealth may suspend or terminate accounts that violate these Terms, misuse the Service, engage in fraudulent activity, or create legal or security risks.
10. Data Retention and Deletion
Following account termination or cancellation, EMBookHealth may retain certain information for legal, regulatory, security, fraud prevention, backup, operational, and compliance purposes in accordance with our Privacy Policy and applicable law.
11. Disclaimers
The information, analyses, insights, recommendations, scores, forecasts, and other content provided through the Platform are for informational and educational purposes only and should not be considered accounting, bookkeeping, tax, financial, investment, legal, or other professional advice.
The Platform uses automated systems, algorithms, and artificial intelligence to analyze financial data and generate recommendations based on information made available through connected third-party services, including accounting software providers.
While we strive to provide accurate and useful insights, we do not guarantee the accuracy, completeness, reliability, or timeliness of any information, forecasts, health scores, recommendations, or outputs generated by the Platform.
Users remain solely responsible for reviewing all financial information, verifying the accuracy of underlying data, and making their own business, accounting, tax, and financial decisions.
You should consult with qualified accountants, bookkeepers, tax professionals, attorneys, or financial advisors before taking action based on information provided by the Platform.
The Platform does not provide certified public accounting services, bookkeeping services, tax preparation services, auditing services, attest services, investment advisory services, or legal services unless explicitly stated in a separate written agreement.
Financial projections, cash flow estimates, runway calculations, burn rate calculations, forecasts, and predictive analytics are based on historical and available data and are inherently uncertain. Actual business performance and financial outcomes may differ materially from projections or estimates generated by the Platform.
We are not responsible for any losses, damages, liabilities, penalties, tax consequences, missed opportunities, or business decisions arising from your use of or reliance upon the Platform or any information provided through it.
Your use of the Platform and reliance on any information generated by the Platform is entirely at your own risk.
12. No Warranty
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or uninterrupted operation.
13. Limitation of Liability
To the fullest extent permitted by law, EMBookHealth and its affiliates, officers, employees, contractors, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service.
This includes, without limitation, loss of profits, loss of business opportunities, loss of goodwill, business interruption, loss of data, or loss of revenue.
To the fullest extent permitted by law, the total aggregate liability of EMBookHealth arising from or relating to the Service shall not exceed the total amount paid by you to EMBookHealth during the twelve (12) months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless EMBookHealth, its affiliates, officers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of applicable laws or regulations; or
- Your infringement of any third-party rights.
15. Changes to Terms
We may update these Terms from time to time.
Updated Terms become effective upon posting to the Platform unless otherwise stated. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, United States, without regard to conflict of law principles.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and EMBookHealth regarding the use of the Service and supersede any prior agreements or understandings.
